Terms of Service

1. Agreement to Terms

By accessing or using ProChair ("Platform"), operated by Michai Media LLC ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all users, including beauty professionals ("Pros"), their clients ("Clients"), and visitors.

2. Platform Description

ProChair is a technology platform that provides booking, scheduling, payment processing, client management, and business tools for independent beauty professionals. ProChair is not a beauty service provider. We do not employ, endorse, or guarantee any professional listed on the Platform. The service relationship exists solely between the Pro and their Client.

3. Eligibility

You must be at least 18 years old to create an account. By registering, you represent that you have the legal authority to enter into this agreement. Pros represent that they hold all required licenses, certifications, and insurance for the services they offer in their jurisdiction.

4. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate, current, and complete information. One account per person or business entity. You must notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms or appear fraudulent.

5. Payments and Fees

For Pros: ProChair charges a monthly subscription fee as described on our pricing page. Payment processing is handled by Stripe, Inc. ("Stripe"). Stripe's fees are separate and governed by Stripe's terms of service. Client payments flow through Stripe Connect directly to your connected account. ProChair does not hold, escrow, or have custody of client funds at any time.

For Clients: When you book and pay through ProChair, your payment is processed by Stripe and sent directly to the Pro. ProChair does not process refunds on behalf of Pros. Refund and cancellation policies are set by each individual Pro.

Chargebacks and Disputes: If a payment dispute arises, it is handled through Stripe's dispute resolution process. ProChair may provide transaction records but is not a party to payment disputes between Pros and Clients.

6. Pro Responsibilities

As a Pro, you agree to: (a) maintain all required professional licenses and insurance; (b) provide accurate business information, pricing, and availability; (c) honor confirmed bookings or provide reasonable notice of cancellation; (d) comply with all applicable health, safety, and sanitation regulations; (e) not discriminate against clients on the basis of race, gender, religion, sexual orientation, or disability; (f) resolve client complaints professionally and in good faith.

7. Client Responsibilities

As a Client, you agree to: (a) provide accurate contact information; (b) arrive on time for appointments; (c) pay for services rendered; (d) respect the Pro's cancellation policy; (e) not engage in abusive, threatening, or harassing behavior toward Pros.

8. Content and Intellectual Property

You retain ownership of all content you upload (photos, reviews, business information). By posting content on ProChair, you grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and promote that content in connection with operating the Platform. You represent that you have the right to share any content you upload and that it does not infringe on third-party rights.

ProChair's name, logo, design, and software are proprietary. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without written permission.

9. Prohibited Conduct

You may not: (a) use the Platform for any unlawful purpose; (b) impersonate another person or misrepresent your qualifications; (c) post false reviews or manipulate ratings; (d) scrape, crawl, or harvest data from the Platform; (e) transmit viruses, malware, or malicious code; (f) circumvent security measures; (g) use the Platform to spam, harass, or defraud others; (h) create fake accounts or bookings. Violation of any of these may result in immediate account termination and may be reported to law enforcement.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROCHAIR DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We do not verify the credentials, qualifications, insurance, or background of Pros listed on the Platform. We do not guarantee the quality, safety, or legality of services offered. Use of the Platform and any services booked through it is at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCHAIR, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER CAUSED BY TORT, BREACH OF CONTRACT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claims arising from your use of the Platform shall not exceed the amount you paid to ProChair in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless ProChair, Michai Media LLC, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any dispute between a Pro and Client; (e) any content you submit to the Platform.

13. Dispute Resolution

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in St. Louis, Missouri. You waive the right to participate in a class action lawsuit or class-wide arbitration. Each party shall bear its own costs. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles.

15. Termination

Either party may terminate this agreement at any time. You may close your account through Settings or by contacting us. We may suspend or terminate your account for violation of these Terms, fraudulent activity, or inactivity. Upon termination, your right to use the Platform ceases. Sections 10-14 survive termination.

16. Data Portability

You may export your data at any time through your account settings. If ProChair ceases operations, we will provide at least 90 days notice and full data export capabilities.

17. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance. If you disagree with updated Terms, you must stop using the Platform and close your account.
